I am a commercial lawyer with 11+ years of legal experience. I have worked in-house on international commercial and technology matters, combining contract negotiation with IP work, corporate transactions and the development of legal processes.
My experience includes software licensing, SaaS, OEM/ODM manufacturing, distribution and technology transfer. I work on cross-border deals, including contracts governed by English law, and have supported transactions from structuring and due diligence through negotiation, signing and implementation.
An in-house perspective
I have led international legal work while personally handling key transactions and coordinating external counsel across jurisdictions. Alongside individual deals, I develop the templates, negotiation positions and practical guidance used for recurring commercial questions. This combination has given me experience of both negotiating an agreement and supporting the legal work around it.
Selected work
Software licensing and SaaS
I have drafted and negotiated software licensing, SaaS, services and distribution agreements with international technology vendors. My work has included negotiating in English, allocating IP rights and commercial risk, and developing reusable agreement templates and negotiation positions. These agreements formed part of wider international legal support for technology businesses, alongside corporate structuring, transactions and coordination with external legal advisers.
OEM/ODM and private-label manufacturing
I designed a contract framework for products manufactured under a company's own brand. The work brought together IP rights, manufacturing obligations and commercial risk within the contractual arrangements. My experience includes negotiating OEM/ODM agreements and building templates for recurring international deals. It also includes development, technology-transfer and manufacturing agreements, where existing technology and newly developed IP need to be addressed in the contract.
IP rights and due diligence
I structure rights to existing IP and new development, including assignments, licensing and commercialisation arrangements. My experience also includes IP due diligence and proposing contractual and structural measures to address gaps in the chain of rights. This work connects the rights a business has with the rights it needs for a transaction. It informs the drafting of development agreements, licences and other commercial contracts.
Templates, playbooks and document preparation
I develop bilingual contract templates and negotiation playbooks for recurring commercial work. I have built reusable documents and negotiation positions for software licensing, SaaS, services, distribution and supply. I also automate document preparation. The work combines drafting with practical guidance on recurring issues, so that the legal team has both a starting document and an agreed position for negotiations.
Broader experience
My background also includes technology M&A and investment transactions. I have drafted and negotiated term sheets, share purchase and shareholders' agreements, share subscription agreements and convertible loans. I have supported corporate approvals, ownership changes and share transactions involving international group companies.
Education and languages
I hold a law degree and an LL.M. in International Business Law, with distinction. Russian is my native language, and my English is C1.
Writing and tools
I write Commercial Contracts Decoded, a newsletter on English-law contracts and negotiation. I also created Veqtor, an open-source tool for working with Word redlines and preparing tracked edits with AI assistance.
